Terms of Service

These Terms of Service ("Terms") govern your access to and use of Service Loop™, a software-as-a-service platform operated by Lyda Software Systems, LLC ("Lyda," "we," "our," "us"). By accessing or using Service Loop™, you agree to be bound by these Terms.

1. Definitions

"Service" refers to the Service Loop™ platform, including all software, APIs, and related services provided by Lyda Software Systems. "Client" or "you" refers to the dealership or business entity that has subscribed to the Service. "Users" refers to individuals authorized by the Client to access the Service, including service advisors, managers, and technicians.

Subject to these Terms and timely payment of applicable fees, Lyda grants you a limited, non-exclusive, non-transferable license to access and use the Service for your internal business operations. You may not:

The Service enables dealerships to send SMS messages to customers using Twilio's messaging infrastructure. You acknowledge that:

Access to the Service is provided on a subscription basis. Fees are billed monthly in advance. Failure to pay fees when due may result in suspension or termination of access. All fees are non-refundable except as expressly stated in writing by Lyda Software Systems.

6. Data and Privacy

Your use of the Service is also governed by our Privacy Policy, which is incorporated into these Terms by reference. You retain ownership of your dealership data. By using the Service, you grant Lyda a limited license to process your data solely for the purpose of providing the Service.

7. Media Retention

Vehicle inspection media (video and photos) uploaded to the Service is retained for 180 days from the date of upload, after which it is automatically and permanently deleted. You are responsible for downloading or preserving any media you wish to retain beyond this period.

8. Service Availability

Lyda will use commercially reasonable efforts to maintain Service availability. We do not guarantee uninterrupted access and are not liable for downtime caused by factors outside our reasonable control, including third-party infrastructure outages, carrier disruptions, or force majeure events.

9. Intellectual Property

Service Loop™ and all associated software, trademarks, and content are the property of Lyda Software Systems, LLC. Nothing in these Terms grants you any rights in our intellectual property except the limited license to use the Service as described herein. "Service Loop" is a trademark of Lyda Software Systems, LLC.

10. Limitation of Liability

To the maximum extent permitted by applicable law, Lyda Software Systems shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising out of or related to your use of the Service, including damages resulting from TCPA violations, carrier filtering, message delivery failures, or unauthorized access to your account. Our total liability shall not exceed the fees paid by you in the three months preceding the claim.

11. Indemnification

You agree to indemnify and hold harmless Lyda Software Systems, its officers, employees, and agents from any claims, damages, or expenses (including reasonable attorneys' fees) arising from your use of the Service, your violation of these Terms, or your violation of any applicable law, including the TCPA.

12. Termination

Either party may terminate the Service subscription with 30 days written notice. Lyda reserves the right to suspend or terminate access immediately if you violate these Terms, fail to pay fees, or use the Service in a manner that creates legal or compliance risk for Lyda or its other clients.

13. Governing Law

These Terms are governed by the laws of the State of Alabama, without regard to conflict of law principles. Any disputes arising under these Terms shall be resolved in the state or federal courts located in Alabama.

14. Changes to These Terms

We may update these Terms from time to time. Material changes will be communicated to Clients via email at least 14 days before taking effect. Continued use of the Service after the effective date constitutes acceptance of the updated Terms.
